1. Acceptance of Terms
Welcome to MzansiGrid! By accessing or using the MzansiGrid mobile application (the "App"), you agree to be bound by these Terms and Conditions of Service (the "Terms"). If you do not agree to these Terms, you may not use the App. These Terms constitute a legally binding agreement between you and MzansiGrid regarding your use of the App.
2. Description of Service
MzansiGrid provides a platform for car enthusiasts in South Africa to discover, create, and join local car meets, connect with like-minded drivers, and buy/sell parts and accessories. The App may include features such as user profiles, car meet creation and RSVP, location-based event discovery, car groups and communities, a marketplace for buying and selling car-related items, event photo sharing, and in-app notifications. MzansiGrid reserves the right to modify or discontinue the App or any feature thereof at any time without notice.
3. User Accounts
3.1. Account Creation
To create an account and use the App, you must be at least 18 years old. By registering for an account, you represent and warrant that you are at least 18 years of age. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify MzansiGrid immediately of any unauthorized access to or use of your account.
3.3. Account Termination
MzansiGrid reserves the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms.
4. User Content
4.1. User Content Definition
The App may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, images, videos, and audio (collectively, "User Content").
4.2. User Content Ownership
You retain ownership of any intellectual property rights that you hold in your User Content.
4.3. User Content License
By making any User Content available through the App, you grant to MzansiGrid a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit your User Content in connection with the App and MzansiGrid's business. This license survives termination of these terms if the User Content is still required by MzansiGrid (e.g. for archival purposes, or data retention requirements).
4.4. User Content Responsibility
You are solely responsible for your User Content and the consequences of making it available through the App. You represent and warrant that your User Content does not infringe the rights of any third party.
5. Prohibited Conduct
You agree not to:
- Use the App for any illegal or unauthorized purpose.
- Violate any applicable laws or regulations.
- Infringe the intellectual property rights of MzansiGrid or any third party.
- Transmit any viruses or other malicious code.
- Interfere with or disrupt the App or servers or networks connected to the App.
- Attempt to gain unauthorized access to the App or other users' accounts.
- Use the App to collect or harvest personal information of other users.
6. Intellectual Property
The App and its original content, features, and functionality are owned by MzansiGrid and are protected by copyright, trademark, patent, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works of, publicly display, or publicly perform any part of the App without MzansiGrid's prior written consent. 'MzansiGrid' and the MzansiGrid logo are trademarks of MzansiGrid. Other trademarks, service marks and trade names that may appear on or in the App are the property of their respective owners.
7. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MZANSIGRID DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
IN NO EVENT SHALL MZANSIGRID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF MZANSIGRID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MZANSIGRID'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO MZANSIGRID, IF ANY, FOR ACCESS TO OR USE OF THE APP.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
10. Changes to Terms
MzansiGrid reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by posting the revised Terms within the App and updating the “Last Updated” date at the bottom of the document, and, where required by law, by sending a push notification or email to the address associated with your account. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the revised Terms.
